1About SQR1

SQR1 is a digital solutions agency providing web application development, mobile app development, CRM systems, AI chatbot development, workflow automation, website design, and related services. These Terms of Service govern your use of our website and any services we provide to you.

2Services

SQR1 provides custom digital solutions on a project basis. All services are subject to a separate written agreement or proposal detailing the specific scope, deliverables, timeline, and fees.

Service Delivery

• All projects begin with a discovery and scoping phase
• Timelines are estimates and may vary based on project complexity and client feedback
• We require timely feedback and approvals from clients to maintain project schedules
• Final deliverables are released upon receipt of full payment

3Payment Terms

• A deposit (typically 50%) is required before project commencement
• Remaining balance is due upon project completion or as per the agreed payment schedule
• Invoices are payable within 14 days of issue unless otherwise agreed
• Late payments may attract interest at the prime lending rate plus 2%
• SQR1 reserves the right to suspend work on overdue accounts

4Intellectual Property

Client Content

You retain ownership of all content, data, and materials you provide to us. You grant SQR1 a licence to use this content solely for the purpose of delivering the agreed services.

Deliverables

Upon receipt of full payment, SQR1 assigns to you all intellectual property rights in the custom deliverables created specifically for your project, excluding any pre-existing SQR1 tools, frameworks, or third-party components.

Portfolio

Unless you request otherwise in writing, SQR1 reserves the right to showcase completed work in our portfolio and marketing materials.

5Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of the agreement for a period of three years.

6Limitation of Liability

• SQR1 total liability for any claim shall not exceed the fees paid for the relevant service in the preceding 3 months
• SQR1 is not liable for indirect, incidental, or consequential damages
• SQR1 is not responsible for third-party services, platforms, or APIs used in your solution
• We do not guarantee uninterrupted or error-free operation of any digital solution

7Warranties

SQR1 warrants that services will be performed with reasonable skill and care, deliverables will materially conform to the agreed specifications, and we hold the necessary rights to deliver the agreed services.

We provide a 30-day warranty on delivered work. Defects reported within this period will be rectified at no charge, provided they are not caused by client modifications or third-party changes.

8Termination

Either party may terminate an engagement with 14 days written notice. You are liable for all work completed up to the termination date. SQR1 will deliver all completed work product upon receipt of outstanding payment. Deposits are non-refundable once work has commenced.

9Website Use

By accessing sqr1.co.za you agree not to use the site for any unlawful purpose, attempt to gain unauthorised access to any part of the site, transmit harmful or malicious content, or reproduce our content without written permission.

10Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms.

11Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa, including the Consumer Protection Act, 2008 and the Electronic Communications and Transactions Act, 2002. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in accordance with AFSA rules.

12Changes to These Terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance. We will notify existing clients of material changes by email.
